I have applied Form 1A for name availability reg when I applied the status is Pending for Approval and after 5 days now the status is Assigned

what is it meaning ?
can some one help me to approve the name early?

Dear Sirs,

there is a public limited co. formed in 2007 having 7 shareholders. this year 1 of the shareholders (holding 10% shares)died. Now his shares has to be transferred to another existing share holder.The company is not listed anywhere.

1. what is the procedure to be followed?

2. As it is a case of transmission, what other aspects to be seen here?

if a public ltd company has three directors then whether it is required to appoint directors retire by rotation in the first annual general meeting, or we can appoint the directors retire by rotation in the annual general meeting after the first annual general meeting, kindly clarify ( Section 255 and Section 256) of the companies act, 1956

Dear Experts,

We are all aware of the fact the vide a recent circular effective from 12/08/2012, the Ministry had transferred the power to condone the delay in filing the particulars of charge from the CLB to RD.

In this scenario, I have filed a petition with the RD relating to condonation of delay in filing particulars of modification of charge on 25/08/2012.

I am tracking the status of the form for the past 1 month and it is been shown as "PENDING FOR ACTION".

Kindly let me know, when can i expect the same to be approved ?

Also clarify me whether there is any need to send the petition physically to the RD ?

Since e-filing mode in available with the RD, i thought it out to be not necesssary.

Kindly tell me that Form 23 is required to be filed for every resolution or is there any specific criteria for this.

When the AGM is held then the ordinary business which are transacted there are also resolutions , so this Form 23 is required to be filed in that case or not ?

In a pvt ltd co. first the BOD decided to allot shares 1000 shares @ Rs. 100 per share, total Rs. 100,000/- and filed Form 2

Later on they want to change the allotment as 100 shares balnce Rs. 90,000/- as premium.

Is it possible to cancel the first allotment of 1,00,000/- and file new Form 2 for Rs. 10000/-
Pls help me in this query at the earliest
