a)Can a private limited company pay remuneration to NON EXECUTIVE DIRECTOR under companies act 2013 ?b) whether section 197 of the companies act 2013 applies to private limited company? IF NO, THEN WHETHER REMUNERATION TO DIRECTORS IN A PRIVATE LIMITED COMPANY CAN BE PAID WITHOUT ANY LIMITS ?

hi plz help me with this particular issue
public listed company in which all the directors have resigned due to default.
company currently has 3 directors Md,Wtd, and 1 non exec director

WTD is a FATHER of MD
MD and WTD were appointed in 2012 w.e.f march 1st and april 1st redpectively and duly in agm.

everything was going wel sudnly all directors resigned and company was left with three directors

in feb 2015 resolution for reappontmnt of md and wtd could not be passed since the come had only one uninterested director.

now today the tenure of md and wtd had expired..
what is the best thing can be done now?
shall the dir 12 for change in designation from the back date be filed??
but nothing was intimated to stx regarding the same when the outcome of feb meeting was sent.

In case of private company right of members to transfer share can be restricted by articles Mean while IN OPC choice to restrict right to transfer share is available to OPC. 1 Question can OPC having more than 1 member? 2 is status of member and share holder is differ from each other for private company, if so then Can a private company have more than 200 shareholders and members restricted to 200 3 question only if 2nd answer is share holder and members having different status, then question arise will a private company is also allowed for trading?

Under section 135 of companies act 2013 it is mandatory for every companies to spend 2% average net profit of 3 years for CSR activity. what it mean by average net profit? Profit before tax or profit after tax?
