Issue of share certificate

My company have authorised share capital of Rs.500000. We have paid up capital of Rs.300000. We would like to issue the rest Rs. 2 lakhs shares to another party. Please guide me on the proceedures.

Annual Filling

I have filled Form 23AC & 23ACA and also made payment, but not able to file Form 20B as two of my director has not file Form DIN - 3. So the form dont show DIN details and presrutiny is not successful.

So if i filled Form 20B after some days then there is any problem as i have already filled form 23AC & 23ACA.

Disputed Unpaid Dividend

Hello sir,

I face one problem due to unclarity in the companies act, 1956. According to Section 205A all unpaid/unclaimed dividend beyond 7 years has to be transferred to Investor Protection Fund. However, what if upaid dividend arises due to the disputes regarding the beneficial of dividend and for that reason it is upaid for more than 7 years ? Will it also requires to be transfeered to Investor Protection Fund ? Please guide us.

liability of a director

Ours is a pharmaceutical public ltd. company in H.P. I want to know whether the liability of manufactuing chemnist who is also a director can be fixed legally. I mean is it possible that in case of any problem in future like if any sample of medicine fails, the mfg director may be held responsible for the problems and other director can not be held liable legally.
