Would like to know in case of ESOP to Key managerial person, whether difference between allotment price and valuation price of shares incase of ESOP will be consider as managerial remuneration.

A Company's issued capital is equal to its authorized capital.

Whether a company can accept further any share application money in this situation. (the company has not issued any shares but only accepted the share application money)

if yes, to what extant.

if no why?

can convertible preference shares be issued in a bonus issue

If Loans taken from relatives, is it necessary to make them shareholder of the company?? plz give reference of applicable section.

Please solve my following query:

My company is Indian public ltd company (unlisted). One shareholder (8% equity shareholding) is foreign company of Germany. Please tell me how we can pay dividend to that German Company (state the procderue which an Indian company has to follow) and if existing Indian shareholder cum director wants to buy his all shares so what will be the procedure?
