MOA format for Hospitals, health Centre.

Plz send us the sample MOA and AOA for a new company with activities like running a hospital, medical centre.

form my form 21 was filled before 2 year and few documents and challan is not attached with it,then it is pending for user clarification.now i tried to file addenum in form 67. but it is not accepted by site because addenum is allowed to file upto 30 days only otherwise we need to file extension of time and condonation for dalay in CLB.now i filled the extension and condonation of dalay in CLB under regulation 18 of company law board regulation ,1991. it is expected that i receive order in 3 to 4 months. then which form i require to file and what is procedure for filling form 67 (addendum)

Please explain me in brief

Can somebody help me with what is the procedure under section 58A deposis not to be invited without issuing an advertisement?? Any application to be made to any government authorities? and if yes, what documents required and how to go about it?

Sir, What is the provision if a company (pvt) fails to file forms 20B, 23AC, 23ACA within the stipulated time, but files it later paying the additional fees as prescribed ? Is it a criminal offence ? What liability arises on directors for such delay..? Please help. In urgent need of your suggestion.

Certificate of Commencement of Business

we have incorporated a public limited company in 2008.

but before taking certificate of Commencement of Business we have started business and opened Bank account the last date for taking certificate is July,2009

Plz suggest whether we have to close the Bank account and take certificate of commencement of business or closure of the company.
and also suggest implications for not taking certificate of commencement of business.

A pvt Co. is desirous of listing its shares after conversion into a public company through [b]offer for sale[/b]

Can anyone please provide me with a checklist as to what formalities are to be complied with and when to approach lead managers.

Also would it be possible to appt LM after filing draft prospectus with SEBI - since th issue is not a very huge one, therefore, need of LM is only at a later stage.
