1. While filing the Form 23B at MCA site there is an instruction kit along with the downloading option of Form 23B. At the end of the common Instruction kit a note is given "User is advised to refer to eForm specific instruction kit".

Plz let me know where is that kit???????

2. While filing the Form 23AC in Instructions to filing form it is mentiond there that in place of SRN No. u can type Z99999999.

My query is when it is compulsory to file Form 23B under section 224 sub-section 1A, for every*** auditor, what can be the case that SRN No. is not available to the auditor or he is not required to file it to ROC?????????????????

It has been decided that one of the company will bring its software instead of capital in cash, for which the JVC will issue shares.

Can the company subscribe the shares against the supply of softwares?

If no, then why, and if yes, then how?

ABC Private Limited has not filed
the Annual Filing Forms from 2004-05.

Due to some problem, the company could not do the filing for 2004-05 and 2005-06.

Now, the company wishes to complete at least for three years from 2006-07 to 2008-09 leaving the two years (2004-05 & 2005-06).

As a test check, I have verified uploading the Form 23AC for 2008-09 and the system is not prohibiting the filing of Form 23AC for 2008-09.

Kindly advise whether I shall do the filing for problem free years (leaving the prior two years and at a later date, I shall do it).

Please confirm whether I can go ahead.

If it is a violation, please substantiate with the relevant provisions of companies act, as it can be useful to exhibit to the concerned persons not to go in a jumbled manner.
