Appointment and Remuneration to MD

We are Public Limited Company we have to appoint MD and Whole Time Directo and pay remuneration to MD and Whole Time Director within the limit i.e total managerial remuneration less than 10%.
Whether the same (appointment and remuneration)to be approved in Shareholders meeting after fixed in Board meeting.
Please give me the detail procedure
