Appointment of functional director

Thank you for your prompt reply to my query regarding the appointment of functional directors in govt companies (CPSEs).I have one more dbt, According to Sec. 260 additional directors shall hold office only up to the date of next AGM. In pursuance of Notification No.GSR 906, dated 30-07-1981 & GSR 577(E), dated 16th July, 1985 section 255,256,257,263,264,265,266 are not applicable to the Govt Companies (Section 620). In this situation, how we can appoint a functional director? Which is the section we have to comply? Can u explain…

Whether EES Allowed???

Dear Experts,

one of our client company is opting for EES but he has received show cause notice from RoC prosecuting U/s.162, 168, 210(5) & 220(3) for contravention of sections 159/160/166 & 210 of the Act. (Re - Helding AGM, Filing Annual Returns, Presenting Final Accounts).

Can company proceed with EES?

Our one of client has carried out procedure to strick off the company. Bud due to some reason he wants to revive / for that company.

Can anybody guide me proceduraly what is to be done in this matter? Is it possible to form the name of the same company?

Can 2 AGMs be convened on a single day

SINGLE NOTICE IS SUFFICIENT FOR TWO AGMs

Circular Resolution

I read your article. Thanks a lot sir, In government companies most of the directors are appointed in board meeting. Is it? Are they additional directors? If not, Can we appoint them through circular resolution?

which is beneficial scheme in MCA21 ??

hey experts.. an IT company owner has created three other companies in 1995. then he went Canada and settled there. no ROC filings since 2000. how much penalty will be there for each company? is it better to avail easy exit scheme or go for paying penalty through company law settlement scheme?? please reply soon..

Circular Resolution

Thank u sir. Circular resolution is applicable for the appointment of all type of directors. Is it sir? Kindly explain the procedure for the appointment of director through circular resolution in a government company. I’d like to know whether that director can be elected as chairman.
