share transfer

can you please clarify
1)on the death of director, what are the steps to be taken by company like (filing form 32)
2)do we need to pass board resolution for transfer of share from the director who is dead to remaining director, if so can you please draft the resolution for that purpose.
3)other than form 32 & share transfer any other formalities has to be done by the company, if so please mention it.

form 20b

can you please clarify the following (PRIVATE LIMITED)
1)directors resigned on 06-09-2010, AGM held on 30-09-2010,
2)In Complaince Certificate did not mention about retirement of Director, because my CS told it will come next year, But
3)in Form 20B it asking for directors who ceased since last AGM,and directors as on this year AGM
4) i wanted to know whether to mention about retirement this year or not

please clarify

if a pvt company has the bank overdraft outstanding at the year end exceeds Rs 25 lacs whether caro is applicable or not?
remember it's bank overdraft not a term loan

I have one more query regarding dividend.Whether Company can pay higher interim dividend say 60% thrice in a year.Whether any law binds the company for declaring such higher dividend thrice

Further isue of shares

A PRIVATE COMPANY wants to issue further equity shares.

Can it allot the same only to a few say 7 out of 10 shareholders?

or should it offer shares to all, get a renunciation from 3 shareholders? In such case can the shares offered to those 3 be then allotted to the remaining 7 shareholders.
