Index of charge is not correct on the MCA portal for a particular company.therefore i have sent a letter to the ROC for the correction alongwith all the proofs. whether the ROC shall correct the same?? or personal visit is also required for the same?? Kindly Reply.

We have incorporated a pvt. ltd. company on 28th Jan. 2010.
Please tell me what will be date of filing annual return of such company.
Please give me of your valued advice to resove the following problems:
1.A Pvt. Ltd. Co incorporated in West Bengal.Whether the Co. are required to pay e-stamp for filling Form 5 and 2?
2. Is it mandatory to submit hard copy of Form 5, 2 and 32 in local ROC office?

Form 32, Form 18, Annual filings over past few years, etc. are not updated in the MCA website though I have requested concerned RoC by e-mail to update the same but in-vain. No notices were received by the company in the past from the RoC. Status shown in MCA masterdata is "STRIKE-OFF".
How to proceed further -through Tribunal,Through Court? Or, any other way out!

Hello sir, please help to how to prepare resoulation for resignation of old Managing Director and appointment new managing Director.
As per Company (issue of share certificate) Rules, the share certificate should be signed by atleast 2 Directors AND by the Secretary or any other (Board)authorised person.
Suppose if the company has only 2 directors & there is no other person, what is the procedure to sign the share certificate?
N.B: those 2 directors are also the only share holders & no other share holders.
The company is a running one though filing of annual returns, etc. were pending for past 7-8 years. The address in RoC record is not correct and many documents filed are not shown in MCA portal.Because of wrong address the company did not receive any notice,etc. from RoC.
How to proceed to e-file the back returns?If not possible, how to restore the Company?
Please advise.

any other way by which a partnership firm
can subscribe for the shares in a company.
