The provision of section 314(1B) of the Companies Act, will apply to a director holding office of profit and getting remuneration 3Lacs per month.
Can the Board of Directors of the Private Limited have the power refuse the resignation of Managing Director on the ground that, the resignation will not be accepted till the completion of asssigned work ?
Ours is Unlisted Public Limited Company, we want increase the remuneration of Managing director, but the same is exceeding 5% of the Net profit i.e.8%, so we are going by schedule Part II of XIII where approval of Central government is not required for the Unlisted Public limited companies, because profits are not sufficient to pay the remuneration. but Effective capital of our company is positive. can i go by schedule XIII or i have to apply for Central government approval?
There is One MD and one WTD.
MD remuneration proposed is 8 of net profit.
WTD 3% of the Net profit.
Overall remuneration is coming around 11%

But the company has mentioned in its MOA in part B (The object incidental or anciliary to the attainment of the main object) that the company can do construction business.
A registered company is engaged in forex business now it wants to add construction business under the same name. So what is the procedure for the same.
