One of the organisation was running as an unregistered club for 5 years however it got itself registered on 15/05/2014 under west bengal society registration act. The club was drafting the accounts and was getting it audited. Now the question is that the club can continue with old accounts irrespective of the facts that it got itself registered after 5 years or It has to start new accounts fron the day it got itself registered?

As per sec 149 the maximum no. of directors a company can have is limited to 15. Suppose the articles of association of abc Ltd provide that maximum number of directors in the company shall be 10. The broad of the said company now desires to increase the number of directors to 15. Can this be done? And also could you let me know if a special resolution for the same needs to be passed? and the procedure?? Many thanks in advance!
