Will the new companies act applicable for nov 14 IPC exam of business law?

Dear experts, Is pvt. co. a listed co. as per co. act 2013.because if co. is listed then it will convert into public because 25% holding is of public. so pls resolve my query.

AS PER COMPANIES ACT, IT IS REQUIRED TO READ OUT AUDITOR'S REPORT IN AN AGM. BUT WHETHER AS PER SEBI GUIDELINES, AUDITOR'S REPORT CAN BE TAKEN AS READ IN AN ANNUAL GENERAL MEETING?
