Companies act 2013 or 1956

Companies act 2013 or 1956 will be applicable for ipcc nov. 2014 exam. In rtp nov. 2014 all question are asked from companies 1956 but in study mat. for nov. 2014 given com. act 2013. Some concepts in both act are similar.

Auditor

In a co. Aditya Shah & Associates were a Auditor during FY 13-14, they were retiring at 14-15, they gave a resignation letter as they are unwilling to continue as a auditor (Date of letter: 29.08.2014), thereafter new auditor Patodia & Co was reappointed (Date of Letter: 1.09.2014), so the Co needs to file GNL 2 after AGM attaching resignation letter of Aditya Shah, Associates and adt-1 and consent of Patodias and resolution passed in agm.

Am I right?

And is there any other requirement of special notice? Please reply asap.

Dear Sir/Madam,
As per Section 1(3)(b) of The Payment of Gratuity Act, 1972, the act is applicable to establishments in which 10 or more persons are employed, or were employed, on any day of preceding 12 months.
But if an establishment has its branches in one or more states, will the said provision apply ??
For Eg: If A Ltd. Has two branches one in Delhi and other one in UP each employing 8 and 7 persons respectively, will the said act apply to A Ltd??
Please Clarify.
