Point No.1: An "A" was an Executive Direcot of a private limited company having some shares in his name which is not listed company. Due to some differences "A" had to leave the said company. While "A" was with the said company the Managing Director took blank signature on share transfer forms with all the shareholders including "A"'s signature and kept with him. Immediately after "A" left the company, with out "A"'s knowledge the shares were transferred in another employee name. "A" came to know that the company's auditor (chartered accountant) signed in the share transfer form as a witness. Can a chartered accountant be witness for share transfers? If the answer is NO, then what type of action "A" can take against him. Point No.2: The same chartered accountant after I left the above company, with the support of the management, filed a criminal case against me in 2005 without any proper reason only to harass "A". Recently (after 5 years) that case was acquitted on the grounds of benefit of doubt. For this case, "A" had to visit the court about 40 hearings and spent lot of money on advocates, police and other expenses by loosing income on those days. Since "A" won the case, can "A" take any action action that chartered accountant and if so which law is applicable and before which forum "A" can file/refer the case.

Costing of Zee Learn Shares

I owned 100 shares of Zee Entertainment @ Rs. 276.41 & upon the following Scheme of Amalgamation becoming effective , was given 1 share in Zee Learn for every 4 shares of Zee Entertainment . What would be my costing ,now , for my 100 'Zee' Shares & 25 'Zee Learn' Shares ? Please refer the following article that I downloaded from Reuters for details of the Amalgamation scheme :

Zee Entertainment Enterprises Ltd announced that the Members of the Company at the Court Convened Meeting held on April 19, 2010, have approved with requisite majority the Composite Scheme of Amalgamation and Arrangement between ETC Networks Ltd. (ETC), Zee Entertainment Enterprises Ltd. (ZEEL), Zee Learn Ltd. (ZLL) and their respective Shareholders and Creditors made under the provisions of Sections 391 to 394 and other applicable provisions of the Companies Act, 1956, for the proposed Merger of ETC into ZEEL and upon such merger, demerger of Education Business undertaking from ZEEL into ZLL with effect from March 31, 2010 and April 01, 2010 (Appointed Dates) respectively subject to necessary statutory and regulatory approvals including that of Honourable High Court of Judicature at Bombay and such other authority(ies) as may be required.

Non Recipt of Commission as sub broker

Can any body suggest plz, as we are share brokers of one pvt ltd co.based on Mumbai, from opening of a/c(10 months) as share subborker,we have to recieve nearly rs.1 laks on a/c of commission as mentioned in theri web site, we have not recieved commission amount.as they are saying daily that we are sending chq, but not recvd till today, please suggest me in this regard how to collect amount urgent please....

minimum

Hi sir,
1. What is the Minimum amount to be collected by the company on share applictaion?
2. What is the Minimum amount to be paid by the member on share application?
Recently i read in CPT study material it is mentioned that
1. A Company should collect minimum amount of 5% on face value on application
2. In more paragraph it is mentioned that a member should pay minimum amount of 25% on issue price on application


My query is what is the correct one, how I should understand above 2 sentences?
