On receiving of Special Notice from one of our shareholder for not to re-appoint the existing auditor. subsequently, the existing auditor has not audited the accounts for March, 2012.
My query is, can we lay down UN-audited accounts in Annual General Meeting for the year ending on March, 2012 and pass a resolution for not to re-appointing the existing auditor pursuant to special notice received from a shareholder of the company and appoint a new auditor thereon.

No, Un audited Account Accounts Putting in AGM is Violation of Law.

but what if the auditor has not audited the accounts.
Company has to conduct its AGM before September end, but auditor is not auditing the accounts.
