Approval of financial in agm

If financial are audited & approved in board meeting but AGM to be held in oct ,can co. file its return in sep as financial not approved by AGM?

Income tax department and the ROC department are different. approval of Financial Statement required only for ROC pupose not for filing of ITR in the income tax department purpose so you can file your return without approval of Financial statement in AGM.
