12 April 2012 What is the procedure for appointment of Executive Director by Pvt Co. which is not subsidiary of public company...?

12 April 2012 The Board can appoint ED in its Board Meeting as an Additional Director and he/she will retire at next AGM and he/she can be reappointed in AGM.

12 April 2012 As per my understanding we have to File form 32 first for apt as Additional Director and then another Form 32 for change in designation to ED.

Should I have to file Form 32 again at the AGM?

12 April 2012 Not required to file again for appointing as ED. In the same appt as AD, he can be designated as ED and accordingly Form 32 can be filed.

Yes, u should file Form-32 for change in position, with in 30 days from date of AGM.
