Appoitment of additional director as director

Now we have to appoint him as director in this year AGM i.e. 29.09.2012.
Do i have to pay additional fees for filing form 32 or should i file back dated resolution dated 30.09.2011 for his appointment????
As per my understanding his period of office is automatically expire on last AGM 30.09.2011.
After AGM you will file Form-32 of such vacation of office under section 260.
Again appoint in BM as AD and then appoint him as director in AGM dated 29.09.2012.

Your attachment will be last AGM date and pay additional fee.
