Dear Sir,
A pvt ltd co. has four directors & want to resign two of them & to appoint two new directors. Is form DIR 12 is sufficient or form DIR 11 is also required to be filled with ROC.
Please guide as soon as possible.

if the date of resignation of 2 directors is after 01.04.2014 then you need to file dir - 11.
dir - 12 is needed to file for appointment of director.

For resignation both DIR-11 and DIR-12 has to be filed.
DIR-11 has to be digitally signed by the respective persons and to be filed by resigned directors.
DIR-12 has to be digitally signed by the authorised person and to be filed by the company.
