Appointment of whole time director with retrospective effect

14 February 2013 As Director is appointed on 1st October 2010 and board meeting was taken on 18 Oct 2010 for appointment of WTD with effect form 1st Oct 2010.

In above case can BOD appoint WTD with retrospective effect.

In case of MD, the Board of Director can not appoint him retrospectively. But you can paid remuneration retrospectively.

Th MD at the time of appoint take major responsibility, so you can not appoint him retrospectively.

In case of WTD, the Companies Act, 1956 is silent.

So, I will suggest you to check, what your company articles says.
