09 May 2012 Can a listed company appoint a person as Director- Finance without considering him on board?

Request to provide supporting notification or DCA clarifications on the same.

If you are appoint him as a member of the Board of Director then you check what your company articles' says.

If you are appointing him as Director-Finance without the member of Board of Directors then no need to any section of Companies Act, 1956 and DCA clarifications. Because it deal with Board of Directors of the Company.
