16 December 2010 After appointment of an Additional Director in the Board meeting of a listed company, is it required to submit profile of the director separately to the Stock Exchange? Intimation of Board meeting and outcome of board meeting have been filed properly. plz advise,

In my opinion no need to submit profile of the additional Director seperately to the STX.

However, you will have to give a brief profile of the Diretors seeking appointment/re-appointment at the AGM of the Company along with the notice of AGM.

In case of Listed Companies, the Annual Report of the Company which contains the AGM Notice will also contain a brief profile of the Diretors seeking appointment/ re-appointment at the AGM and since the Annual Report will have to befurnished to the STX no need to provide the brief profile of the Director seperately to the STX.

In case of appointment of additional director in Board Meeting, you must inform the Stock exchanges about the appointment, their is no mandatory to give profile detail of director to stock exchange immediately.

In compliance with clause 41 of the Listing Agreement, you give details of director appointed during the financial year in Annual Report of the Listed Company.
