Appointment of Additional Director as Director in AGM

Please advise me the procedure for appointment of Additional Director, who holds the office upto AGM as Director in the AGM for a private limited company.

Hi Ankit,
Appointment of Additional Dir is governed by section-260 of the companies act, 1956.
1. Collect DIN no. of proposed director.
2. Hold a Board Meeting and appoint the person as Additional Director u/s 260.
3. Download form-32 from MCA Portal.
4. Fill in the details of Additional Director in form-32 & get it certified from Practicing CA/CS.
5. After certification upload the form 32 on MCA site.
Digital Sign of director also reqd for the process above.
In case of any query plz revert.

My query is:
Additional Director is appointed and Form 32 is also filed. But this Additional Director is appointed as a Director in AGM. So again Form 32 is required to be filed?

Yes my Dear Friend. You have to file form-32 again. 100% sure.
In case of appointment of rotational directors at the AGM form 32 is not required to be filed.

With reference to above, I need one more clarification:
Whether new consent letter of is required from the Director and attached to the Form 32 again for change in his designation from Additional Director to Director.
