If there is vacancy in the auditor's office due to the death or incapacity of the auditor, then who has the authority to appoint the auditors?

Simply refer section 224(6). In case of death or incapacity board of directors can fill the vacancy caused in the office of auditor.

In case of death , insanity,disqulification,inslovency etc, section 224(6) attracts thereby the board of directors are empowered to fill the vacancy.
