29 October 2010 what is compliance certificate in form 66 and how it is prepared & also how is the annual return attachment prepared for form 20B in MCA

29 October 2010 Section 383A(1) of the Companies Act,1956 speaks about Compliance certificate. Relevant portion is extracted below for a quick reference.
Every company not required to employ a whole-time secretary under sub-section (1) and having a paid-up share capital of ten lakh rupees or more shall file with the Registrar a certificate from a secretary in whole-time practice
as to whether the comapny has complied with all provisions of this Act and a copy of such certificate shall be attached with Board's report referred to in section 217.

The certificate referred above should be attached to e-form 66 and has to be e-filed through MCA21.
