what is compliance certificate in form 66 and how it is prepared & also how is the annual return attachment prepared for form 20B in MCA

Section 383A(1) of the Companies Act,1956 speaks about Compliance certificate. Relevant portion is extracted below for a quick reference.
Every company not required to employ a whole-time secretary under sub-section (1) and having a paid-up share capital of ten lakh rupees or more shall file with the Registrar a certificate from a secretary in whole-time practice
as to whether the comapny has complied with all provisions of this Act and a copy of such certificate shall be attached with Board's report referred to in section 217.
The certificate referred above should be attached to e-form 66 and has to be e-filed through MCA21.
