Alternate Director for the existing Director

09 June 2011 Dear Friends / Experts,

Please see my query.

ABC Ltd filed Form 32 for X as Alternate Director for Z say in January 2011.

Please note, X has not resigned.

Again, the company filing Form 32 for Y as Alternate Director for Z (same director) say in June 2011.

I am unable to understand the necessity or logic behind such filing.

Can somebody make me understand or clarify the correctness ?

It seems the MCA portal accepts such filing.

I will wait to hear replies from one & all.

Z might have returned to the state in which meeting of the Board are ordinarily held in between January and June,2011. So, as per section 313(2) of the Companies Act,1956, X vacates on the date of Z's arrival.
Subsequent to the above event, Z might have absent for not less than three months, warranting the appointment of Y as AD in June,2011.
