Whole time directors question

MR.X is whole time directors in ASP pvt ltd.and he is also director in ANR pvt ltd .
the ANR pvt ltd did not file any annual filing with ROC? If they any damage to wholw time director? Advice me?

The provision of section 269, regarding appointment or re-appointment of Whole time Director or Managing Director will not apply to private company unless it is subsidiary of public company.
