02 November 2010 dear experts
my client is pvt. ltd. co & wishes to increase the monthly salary of its 2 directors from the existing level of Rs. 10000/- to Rs. 15,000/- in one case & Rs. 15,000/- to Rs. 20,000/- to another? whether the co. has to inform the same to ROC.
if yes which form No.
please guide me in this matter with other points also.

02 November 2010 Only a simple board resolution would do.

Also see that the salary being paid is reasonable and comparable with general market conditions and not excessive.

03 November 2010 Agreed with Warrier Sir...

Because the provisions of remuneration of private limited company is governed by its articles. The provisions of managerial remuneration of Companies Act will not apply to private company.
