Valuation of shares for cap.gain purpose

My client is a Pvt. Ltd. Co. It sold entire shares at par to another group. Now my question is how to determine valuation of shares for the purpose of capital gain. Please give an example.

Valuation is required to be done on the basis of Book Value of the share (also known as INtrinsic Value of the Share)
