17 March 2012 This question was asked in DEC 2011 exam and plz tell me solution for the same.

Your Company has total 12 Directors as under:

Non - retiring Director 3
Retiring Director 5
Additional Director 4

State the number of directors liable to retire by rotation at the AGM and the total no of directors who shall vacate the office oat the AGM

Hi

Additional director will not be taken into account for liable to retire by rotation.

Only two directors out of 5 retiring directors will be retire in upcoming AGM.
