Tax implication for indian investor as well as foreing inves

My question is:--

Company x is incorporated in India, Indian as well as foreigner is investor of company x.

Company x is a subsidiary of company y situated & incorporated in Mauritius. Now Company Y Holding company of X is planning to issue IPO in India as well as in USA.

Kindly guide on below mention point:-

1. Tax implication on Indian Investor as well as on Foreigner investor of x(sub) if IPO is issued in India by company Y (Holding Company)
2. Tax implication on Indian Investor as well as on Foreigner investor of x (sub) if IPO is issued in USA by Company Y

04 February 2013 Tax incidence arises only when the shares are transferred. Issue of Shares by Y in no way, is transfer of shares. No Tax Incidence is resulting so
it is difficult to guess about the Tax implications at this stage.
