Section 26 of the Act contains provisions regarding the Articles of Association of a Company. According to this section, a company is required to register alongwith the Memorandum, the Articles of Association. However, this section treats unlimited companies, companies limited by guarantee, private companies limited by shares and public limited companies on different grounds.
This requirement is mandatory in case of an unlimited company or a company limited by guarantee or a private company limited by shares. However, public limited companies have option either to frame and register their own Articles or abide by Table A in Schedule I.
Therefore, the following companies shall get their Articles registered along with the Memorandum of Association:—
(a) An unlimited company;
(b) A private limited company, limited by shares;
(c) A section 25 company, whose articles must also be approved by the ROC
