A public ltd. incoporated in may 2006 filed Form 22 in Aug '10.....the ROC has raised a query tht required resubmission with remarks that pls comment how compliance of sec. 165(5) has been made by the company....

late fees has been paid......after filing the report with roc there is the abovementioned query raised by ROC......

The process of filing the SR with roc is to attach the same with ROC form 22 which you have missed and question raised by ROC.
It is better to go for some professional advise of some CA or CS who is very familier with ROC work.

sec 165 provides that SM shud b held within 6 months frm the date of commencement....n sec 165(5) doesnt provide ne tym limit the report shud b filed with registrar under which the ROC has sought clarification....it only mentions tht it shud b delivered to registrar aftr circulating the copies to members........
