SAMPLE BOARD MEETING RESOLUTION FOR ALLOTMENT TO EXISTING SHAREHOLDERS UNDER SECTION 81
ALLOTMENT OF SHARES
"RESOLVED THAT 100 equity shares of Rs. 10/- each at a price of Rs. 13/- per Share (including a Premium of Rs. 3/- per Share) in the share capital of the Company be and are hereby allotted to below-mentioned allotee in physical form

RESOLVED FURTHER that any director of the Company be and is hereby authorized to file the return of allotment pursuant to section 75 of the Companies Act, 1956 with the Registrar of Companies concerned in the prescribed form.
