As per Company (issue of share certificate) Rules, the share certificate should be signed by atleast 2 Directors AND by the Secretary or any other (Board)authorised person. Suppose if the company has only 2 directors & there is no other person, what is the procedure to sign the share certificate? N.B: those 2 directors are also the only share holders & no other share holders.
