what is the procedure for shifting registered office of a private limited company from one state to another. please reply. it is very urgent. Thanx

Shifting of registered office from one state to another is governed by section 17 of the Companies Act, 1956. First, call a board meeting, decide and approve the proposal for shifting, fix date, time and place for holding general meeting, pass special resolution to amend registered office clause of the MOA, file form 23 with the ROC within 30 days.
Important thing to note is that power to sanction shifting of regd office from one state to another has been delegated to Regional Director vide notification dated 10.07.2012 w.e.f. 12.08.2012. Accordingly, application for sanction of shifting is to be made to regional director. Check the MCA website for a copy of the notification.
