12 July 2012 Dear Experts,

Kindly let me know what is the Validity Period of a Share Purchase Agreement.

If the parties have entered into Share purchase Agreement on 10/07/2012, then till what date this agreement will be valid??

kindly also provide reference to the sections and the Acts which govern this matter...

spa are entered into between parties and are governed under contract act and provisions of SCRA and SEBI. The parties themselves decide the validity of the agreement. For eg. The validity is determined by including call and put options. We cannot blindly make an agreement without mentioning the validity as it makes the agreement ambigious and prone to misinterpretation
