13 January 2011 If the Article of a Pvt Company requires to retire all the directors at every annual general meeting then is it necessary to pass a Board Resolution for retiring directors in the Accounts approval Board Meeting before the holding of Annual General Meeting.

13 January 2011 No resolution needs to be passed in the Board Meeting...Only an Ordinary resolution is required at the AGM of the Company.
