If the Article of a Pvt Company requires to retire all the directors at every annual general meeting then is it necessary to pass a Board Resolution for retiring directors in the Accounts approval Board Meeting before the holding of Annual General Meeting.

You can include "Reappointment of retiring director" as an agenda item of the General Meeting and reelect them directly in the General Meeting.

No resolution needs to be passed in the Board Meeting...Only an Ordinary resolution is required at the AGM of the Company.
