07 December 2012 Dear Sir / Ma'am,
We have to resign 3 directors of a limited company and also appoint 3 new directors in the same company then can we file SINGLE form 32 for both the cases i.e. for appointment and for cessesation.

Or we have to file Form 32 separetly for appointment and for removal.

Please advice me as soon as possible.

07 December 2012 If gap between change/ appointment is not more than 30 days single form will suffice.

Yes, You can file a Single Form-32 with Addendum.

If the date of event is same then you will be eligible to file in same Form-32 with addendum. Addendum-32 is given on MCA portal.

No need to file separate Forms for appointment and removal.

07 December 2012 Sir may it possible that date of appointment and removal same??? If is it possible then whose will sign the form 32 digitally whether is it resigning director or appointing director???

Please suggest me. Thanks

In case of appointment and resignation of director, then digital of such director can not be used. The digital can be used only when the designation of such director is going to be changed otherwise not.

So you will use digital signature of other director.
