Resolution to authorise director for filing various roc form

13 September 2014 Dear Experts,

Kindly reply to my following (basic) query(s):

A private limited company has to file the following E-Forms with RoC consequent to it's First Board Meeting.

1. Form MGT-14 in respect of Resolutions u/s 179(3) of CA 2013.

2. Form GNL-2 for Form ADT-1

3. Form 23AC, Form 23ACA and Form 20B.

Should I have separate Resolution to Authorise Director for each of the above mentioned RoC E-Forms or

Should I have Combined Resolution to Authorise Director to submit and file the E-Forms with RoC?

Please reply…………………with suitable resolution in respect of the above query.

14 September 2014 Simply pass the following resolution once for all routine e form filing:

Authorisation to file Statutory e-Forms

“RESOLVED that directors and Company Secretary of the Company be and are hereby severally authorized to sign in physical or digitally the various statutory forms and documents as and when required under various statutes under various authorities and with Registrar of Companies.
