how to pass a resolution convening the director to receive a managerial remuneration

Resolved That pursuant to the provision of the companies act 1956 and the provision contained in the AOA of the company the Company decided to give Rs.....as managerial remuneration to all the director.
Further Resolved that Mr.... Company Secretary of the Company to do the formalities for the above purpose.
