05 December 2012 How I know that which section & sub section are applicable in the resolution.if I forget the section required for passing resolution can I pass it without mantion the section is it right as per law????

Generally not mentioned of section is necessary, otherwise the object of resolution can not be understand by other members and directors of the company.

So, i think, if section is available for that purpose then type of and nature of resolution should be mentioned in addition to section under which such resolution is going to be passed.
