I M LOOKING FOR THE RESOLUTION TO FIX DATE AND TIME IN THE LAST AGM

FIXING DATE AND TIME OF ANNUAL GENERAL MEETING
As the date and time of the 20th Annual General Meeting is required to be fixed under section 171 of the Companies Act, 1956. As fixing date, time and place of Annual General Meeting is subject to availability of auditorium and other procedural work. The Chairperson informed the Board that for the said purpose Company Secretary of the Company being authorized to comply the provisions of the Companies Act, 1956 for fixing of date and time of 20th Annual General Meeting and dispatch the Annual Report for the financial Year 2012-13 to the shareholders of the Company.
Hence the following resolution placed before the Board for its approval:
“RESOLVED THAT the Company Secretary of the Company be and is hereby authorized to fix the date, time and place of 20th Annual General Meeting and an advertisement be issued in the newspapers as per the statutory requirement within stipulated time as per the provisions of the Companies Act, 1956 and the Listing Agreement with stock Exchanges.”
