08 May 2014 Dear All, In the form DIR 12, Attachment contains namely : (1) Letter of Appointment; (2) Declaration by the first director (3) Declaration of the appointee Director,in Form DIR-2; Whereas all these 3 attachments are mandatory. For a new Incorporating Company, Pl explain the relevance of letter of Appointment to the Director from the Proposed Company.

08 May 2014 No relevance, to me ,it is a drafting error. Further,no format / instruction has been given for 'declaration of first directors'. Therefore, I presume that the director or the professional engaged in the incorporation has to prepare a declaration stating that the proposed director is not disqualified as per section 164 of the Companies Act,2013.
