Sir there is my query about ...whether a debt due and it may owing by company to a one of shareholder of company can be set off against outstanding calls?

there is nothing to suggest that it cannot be done..however given that shareholder is included please ensure that Companies Act requirements are fulfilled in relation to related party transaction etc...
