23 December 2013 as per section 171(2)(i) 'A general meeting may be called after giving shorter notice than that specified in sub- section (1), if consent is accorded thereto-
(i) in the case of an annual general meeting, by all the members entitled to vote thereat;'


Our is a public limited company, two of our shareholders are minor and holding 0.0025 % shares of the company and can't sign.

Now my query is, am i need to get the letter from their guardian to sign the form 22A on behalf of minor....
or
we have any else option?

23 December 2013 Yes, you will take consent of their guardian on Form-22A on behalf of minor.

You also check from Register of Member, who are guardian of both shareholders.

23 December 2013 Kindly appreciate section 171 is no more active now.

Refer section 101 of the companies act, 2013.

If the meeting is after 12.09.13, then avoid using form 22A as shorter notice consent form.
