Private compani -mbp-1 and fin result -mgt 14

Section 179(3) read with rule 8 (5) of companies (meeting ) rule 2014:
1) Disclosure of int - first board mtng of fin year?
2) To approve fin results- the board mtng in wch fin statements are approved ?
Pls suggest for this also we have to file MGT 14 in roc. For private companies?

Section 117 real along with section 179 and rule 8(5) of the Companies Act 2013, is applicable to Private as well as Public Limited Companies.
Therefor Company has to submit resolution taking note of "Disclosure of Interest by directors" with ROC in E-form MGT-14.

the copy of following resolutions shall be submit with ROC in MGT-14 within 30 days of passing of resolution
1. to approve financial statement and the Board’s report; 179(3)(g)
2. to approve quarterly, half yearly and annual financial statements or financial results as the case may be. Rules 8 (i) of Companies (Meetings of Board and its Powers) Rules, 2014”
