12 February 2010 Hi all

How many days before BOD meeting notice is required to be send to the Directors of a company(Section 286).

If possible plz try to mention relevant circular also.

12 February 2010 No time period is specified in the Companies Act, 1956 for board meeting. As per sec 286 of the companies act, notice of Board meeting should be given in writing to directors for the time being in India and at his usual address for the time being in India.

Still, as we have seen in practical situation, it generally being intimated to every directors either through mail or by having a call to all directors regarding meeting.

12 February 2010 Totally agrreing with Ms. Deepika Goel. However,ICSI through their SS-1 says that unless the AOA prescribe a longer notice period,notice should be given at least 15 days before the date of the meeting.
