09 April 2011 if there is 3 promoters in Form 1A and at the time of subscribing MOA/AOA one promoters
is steped out....now can only 2 subsriber can register the company.

any NOC required in this situation

09 April 2011 If it is a pvt ltd company incorporation can be done with the remaining two on the strength of the NOC of the stepped out individual.

11 April 2011 Agree with Mr. Warrier. NOC of the stepped out promotor should be attached to form 1A.

Mr. Warrier, since you have mentioned that this can be done for a private limited company, I would like to know whether the same is applicable for a public limited company or not? I think it's permissible for a public limited company as well. If not, what is the procedure? I have not handled a similar situation in public company so far.

Noc is possible for public limited company's as well subject to the compliance of section 12(1)of the Companies Act,1956.
The question lacks the status of the proposed company. So I put a reservation in my observation viz., pvt ltd.
